CoryNet Business Services Terms and Conditions.

Effective date: 3 September 2026
1. About these Terms
These Terms and Conditions apply to business services provided by CoryNet.
They apply together with any proposal, quotation, order form or other written agreement issued by CoryNet and accepted by the Client.
The proposal or order will normally identify:
- The service or services selected;
- The setup fee or one-off fee;
- The monthly service fee, where applicable;
- The payment arrangements;
- The main features included;
- Any optional extras;
- Any agreed exclusions or variations; and
- Any known usage or third-party charges that may apply.
If a proposal conflicts with these Terms, the proposal will take priority for the specific commercial details stated in it.
2. CoryNet
The service provider is:

CoryNet is referred to in these Terms as "CoryNet", "we", "us" or "our".
The business purchasing the services is referred to as "the Client", "you" or "your".
3. Business customers only
CoryNet provides its services to businesses.
By accepting a proposal, the Client confirms that it is purchasing the services mainly for purposes connected with its trade, business or profession.
These Terms are therefore intended to form a business-to-business agreement.
4. Accepting the agreement
The Client accepts the agreement by signing, submitting or otherwise clearly accepting CoryNet's proposal, quotation or order document.
By accepting the agreement, the Client confirms that:
- It has read and accepts these Terms;
- The proposal details are correct;
- The person accepting has authority to act for the Client;
- CoryNet may begin the agreed setup work;
- The Client will provide the information and access reasonably required to deliver the service; and
- The Client will pay the agreed fees in accordance with the proposal and these Terms.
Where Auto-Pay forms part of the agreed payment arrangement, the Client also authorises CoryNet's payment provider to securely retain the payment method and collect agreed charges when due.
CoryNet will not normally begin setup work until the proposal has been accepted and the setup fee has been paid.
5. Built For You systems
CoryNet provides a range of managed Built For You systems designed to solve specific business problems.
These systems use CoryNet's underlying platform, CRM, communications, automation and integration tools, but they are sold as managed business solutions rather than as access to generic CRM software.
Clients may purchase individual systems and may add further systems later.
A Client does not need to purchase a CoryNet website or any other particular CoryNet service unless the selected system has a stated dependency.
The exact features, configuration and commercial terms for each Client are those stated in the accepted proposal.
6. Online Presence systems
CoryNet's Online Presence systems include:
- QuickStart Website: a managed small-business website service.
- Social Planner: tools for planning, scheduling and publishing social media content across supported channels.
- Newsletter Studio: tools for creating, scheduling and sending email newsletters and campaigns.
The exact features, configuration and level of management provided will be set out in the Client's proposal.
7. Enquiries and Follow-Up systems
CoryNet's Enquiries and Follow-Up systems include:
- Quote Follow-Up: automated follow-up for quotations or estimates that remain outstanding.
- Never Miss A Lead: enquiry capture, acknowledgement, tracking and follow-up support.
- Reactivator: re-engagement campaigns using suitable existing customer, enquiry or lead data.
Reactivator does not include purchased cold-lead databases. The Client remains responsible for ensuring that supplied contact data may be used lawfully.
8. Bookings and Returning Customers systems
CoryNet's Bookings and Returning Customers systems include:
- Remind Me: automated reminders intended to encourage customers to return when another service, appointment or renewal may be due.
- Self Book: an online appointment booking system.
- Self Book & No-Show Reducer: Self Book with additional booking controls such as deposits or payments where configured.
Payment functionality may require a compatible third-party payment provider and may be subject to separate transaction charges.
9. Reputation and Communications systems
CoryNet's Reputation and Communications systems include:
- One Inbox: a central inbox for supported customer communication channels.
- Word of Mouth: automated customer review-request and reputation-building workflows.
CoryNet does not create or provide fake reviews and does not guarantee review numbers, ratings or search-position improvements.
10. AI Assistants
CoryNet's AI Assistants include:
- Alan: AI Website Assistant: an AI-powered website chat assistant for answering common questions and capturing enquiries.
- Ada: AI Booking Assistant: an AI-powered conversational assistant designed to support the booking journey.
Alan may be used on a CoryNet-managed website or a compatible third-party website. CoryNet is not responsible for editing or maintaining a third-party website unless separately agreed.
Ada requires an active CoryNet Self Book or Self Book & No-Show Reducer system unless CoryNet agrees otherwise in writing.
AI-generated responses may occasionally be inaccurate or incomplete. Any applicable AI usage charges are separate from the monthly subscription.
11. One-off services
CoryNet's current one-off services include:
- See Clearly: Google Business Profile setup or optimisation.
- Market Audit: an online presence and competitor report based on the available GoHighLevel Prospecting Market Report.
The scope of each one-off service will be stated in the Client's proposal or order.
12. Market Audit setup credit
A Client purchasing a Market Audit may qualify to have the Market Audit fee credited against qualifying CoryNet setup fees.
The following rules apply:
- At least £500 of qualifying CoryNet Built For You setup services must be purchased within 30 days of the Market Audit;
- Setup fees from multiple Built For You systems may be combined to reach the £500 threshold;
- The £500 threshold is calculated before applying the Market Audit credit;
- The current Market Audit fee of £149 is deducted from the qualifying setup costs;
- The credit applies to setup fees only and not monthly subscriptions;
- The credit has no cash value; and
- No refund is due where the Client does not purchase sufficient qualifying setup services within the qualifying period.
13. Founders Pricing
Founders Pricing is a limited pricing arrangement available to the first five qualifying businesses that become CoryNet Built For You customers.
Where the Client qualifies for Founders Pricing:
- Normal advertised setup fees still apply;
- The applicable discounted Founders monthly subscription price applies;
- Founders status applies to the business rather than to an individual system;
- Additional eligible Built For You systems purchased while the business remains a CoryNet customer may receive the applicable Founders monthly price; and
- The Founders monthly price remains locked while the business remains a CoryNet customer.
Future increases to CoryNet's standard monthly prices do not increase an existing qualifying Client's Founders monthly rates.
If a Founders Client leaves CoryNet and later returns, previous Founders status is not automatically restored unless CoryNet agrees otherwise.
14. Setup fees
The setup fee for each selected Built For You system is stated in the proposal.
Unless otherwise agreed, the setup fee is payable when the proposal is accepted.
CoryNet will not normally begin onboarding, planning, configuration, design or development work until the setup fee has been paid.
Once CoryNet has begun work, the setup fee is not normally refundable if the Client later:
- Changes its mind;
- Delays the project;
- Decides not to launch;
- Stops providing information;
- Fails to provide necessary access; or
- Cancels the project.
CoryNet may reduce or waive an amount where CoryNet considers that fair based on the work completed.
15. Monthly subscriptions
Monthly subscriptions begin on the first day of the calendar month following the date on which the relevant service goes live.
For example, if a service goes live on 18 September, the first monthly subscription payment will normally be due on 1 October.
Monthly subscriptions are then billed in advance on the first day of each calendar month.
The period between the service going live and the first day of the following calendar month is not separately charged unless the proposal states otherwise.
One-off services such as See Clearly and Market Audit do not carry a monthly subscription unless separately agreed.
16. Payment methods
CoryNet's preferred payment method for recurring monthly services is recurring invoicing with Auto-Pay.
Where Auto-Pay is used, the Client authorises CoryNet's payment provider to charge the saved payment method for amounts properly due under the agreement.
CoryNet may agree to recurring invoices without Auto-Pay where this is more appropriate to the Client's payment processes.
Payment may also be accepted by bank transfer where agreed.
CoryNet does not require, and will not ask the Client to send, card details by email, SMS or ordinary messaging services.
The Client is responsible for ensuring that:
- Its payment information is accurate;
- Any saved payment method remains valid;
- Sufficient funds are available; and
- Replacement payment details are supplied when required.
17. VAT
CoryNet is not currently registered for VAT.
VAT is therefore not added to CoryNet's current advertised fees. If CoryNet becomes VAT registered, applicable pricing and billing arrangements may change.
18. Usage and third-party charges
CoryNet's monthly fees do not include unlimited third-party or metered usage.
Separate charges may apply for services including:
- SMS messages;
- Telephone calls;
- Telephone numbers;
- WhatsApp services;
- High-volume email;
- Email validation;
- Artificial-intelligence usage;
- Payment processing;
- Premium integrations;
- API usage;
- Third-party software subscriptions; and
- Other metered services.
Where reasonably possible, CoryNet will explain known additional charges before enabling the relevant feature.
Third-party suppliers may change their own pricing without CoryNet's control.
The Client is responsible for authorised usage generated by its users, contacts, customers and active workflows.
19. Additional work
Work outside the agreed service may be quoted separately.
Examples include:
- Major website redesigns;
- Substantial additional pages;
- New functionality;
- New or complex integrations;
- Bespoke software development;
- Large content-writing projects;
- Search-engine optimisation campaigns;
- Advertising management;
- Managed social media;
- Newsletter copywriting;
- Graphic design;
- Photography or video production;
- Large data migrations or data cleansing;
- Manual customer-service work; and
- Other substantial operational changes.
CoryNet will normally obtain written approval before beginning chargeable additional work.
20. Client information and content
The Client is responsible for providing accurate information needed to configure and operate the selected services.
This may include:
- Business descriptions;
- Services;
- Prices;
- Opening hours;
- Areas served;
- Contact details;
- Logos;
- Images;
- Testimonials;
- Appointment details;
- Booking rules;
- Staff information;
- Frequently asked questions;
- Marketing information; and
- Industry-specific information.
CoryNet may make reasonable spelling, grammar, formatting and presentation improvements.
The Client remains responsible for the factual accuracy of the information supplied or approved.
21. Rights to supplied materials
The Client confirms that it has permission to use all content, logos, photographs, videos, testimonials, data and other materials supplied to CoryNet.
The Client must not ask CoryNet to use material that:
- Infringes copyright or trademarks;
- Is defamatory;
- Is deliberately misleading;
- Is unlawful;
- Breaches privacy rights; or
- Violates applicable third-party platform rules.
The Client is responsible for claims arising from material it supplies or specifically instructs CoryNet to publish.
22. Project timescales
CoryNet does not guarantee a fixed setup or launch timescale unless one is expressly agreed in writing.
Timescales depend on factors including:
- The service being configured;
- The complexity of the Client's requirements;
- The quality and completeness of supplied information;
- Customer response times;
- Account access;
- Technical compatibility;
- Third-party verification;
- Third-party approvals; and
- Other matters outside CoryNet's reasonable control.
Any expected completion or launch date is an estimate unless expressly agreed as fixed.
23. Delayed projects
If the Client does not provide requested information, feedback, approvals or access for more than 30 days, CoryNet may pause the project.
If the Client remains unresponsive for more than 60 days, CoryNet may treat the project as cancelled.
The setup fee remains payable where work has begun.
Restarting a paused or cancelled project may be subject to:
- CoryNet's availability;
- A revised timetable;
- A restart fee; and
- A revised quotation where requirements have changed.
24. Review and approval
Where applicable, the Client will be given a reasonable opportunity to review relevant configuration, content, messaging, booking rules or other customer-facing elements before the service is activated or published.
The Client is responsible for checking relevant details such as:
- Contact information;
- Services;
- Prices;
- Opening hours;
- Website content;
- Forms;
- Appointment settings;
- Message wording;
- Email content;
- Notification recipients;
- Automation behaviour;
- Links; and
- Legal information.
The Client may approve the service by:
- Email;
- Written message;
- Completing an approval form;
- Instructing CoryNet to activate or publish the service; or
- Beginning to use the live service.
25. Ongoing support and routine changes
Recurring Built For You subscriptions include reasonable ongoing support and routine adjustments to the existing configured service.
Routine work may include reasonable changes to existing:
- Website text or images;
- Opening hours;
- Contact information;
- Prices;
- Message wording;
- Workflow timings;
- Notification recipients;
- Booking configuration;
- Forms;
- Connected channels;
- Email templates;
- AI knowledge and business information; and
- Existing automation configuration.
Routine changes must remain within the general structure and purpose of the service already purchased.
26. Reasonable use
Monthly support and routine changes are subject to reasonable use.
Monthly fees are based on the normal requirements of a small business using the selected service.
Where the Client requires unusually frequent support, administration, rebuilding or changes, CoryNet may propose:
- A separate project charge;
- An hourly charge;
- A revised monthly service fee; or
- A separately scoped service.
CoryNet will discuss this with the Client before applying new charges.
27. Managed platforms and third-party services
Where the selected service uses a managed platform, CoryNet will provide the service using platforms and providers selected by CoryNet.
Services may rely on third parties including:
- Website and hosting providers;
- Customer-management systems;
- Communications providers;
- Email providers;
- Calendar services;
- Payment processors;
- Artificial-intelligence providers;
- Google;
- Meta;
- Social media platforms;
- Mobile applications; and
- Integration providers.
Third-party services may change features, pricing, rules, APIs, permissions or availability.
CoryNet is not responsible for third-party changes or failures outside its reasonable control.
28. Integration compatibility
CoryNet cannot guarantee compatibility with every third-party system or account.
Integration may depend on:
- Available APIs;
- Webhooks;
- Native integrations;
- Account permissions;
- Subscription levels;
- Authentication requirements;
- Third-party restrictions; and
- Continued third-party support.
Where an existing system cannot reasonably be integrated, CoryNet may propose an alternative.
Bespoke or materially more complex integrations may be quoted separately.
29. Domain names
The proposal will state how any domain name is being managed.
The domain may be:
- Owned by the Client;
- Registered by CoryNet for the Client;
- Managed by CoryNet; or
- Managed under another agreed arrangement.
Unless the proposal states otherwise, domain purchase, renewal and transfer charges are separate.
Where practical, a domain registered specifically for the Client will be registered using the Client's ownership information.
30. Ownership and intellectual property
The Client continues to own original materials it supplies.
Once all related invoices have been paid, the Client owns original written content and bespoke graphics created specifically for it, unless otherwise stated.
CoryNet retains ownership of its:
- Platform accounts;
- Templates;
- Reusable website layouts;
- Reusable snapshots;
- Code;
- Systems;
- Workflow logic;
- Automations;
- AI configurations;
- Reusable prompts and knowledge structures;
- Processes;
- Technical configurations; and
- General methods.
The Client receives the right to use the relevant managed systems while the applicable subscription remains active.
31. Portability
CoryNet's managed websites and systems use third-party platforms and CoryNet configurations.
Some elements may not be directly transferable elsewhere.
The Client understands that:
- A website may need to be rebuilt;
- Automations may need to be recreated;
- Booking systems may need to be recreated;
- Forms may not transfer;
- Campaign templates may not transfer;
- AI configuration may not transfer;
- Integrations may need to be rebuilt;
- Connected accounts may need to be reconfigured; and
- Platform-specific configuration may not be exportable.
Where supported, standard customer data exports may be provided when the service ends, subject to payment of outstanding amounts.
Migration, rebuilding and transfer work are not included in the standard monthly subscription.
32. Results and performance
CoryNet's services are designed to support and improve business processes, but CoryNet cannot guarantee specific commercial outcomes.
CoryNet does not guarantee:
- Search-engine rankings;
- Google Maps positions;
- Website traffic;
- Social-media reach;
- Newsletter engagement;
- Number of enquiries;
- Number of appointments;
- Conversion rates;
- Customer reactivation rates;
- Number or rating of reviews;
- Reduction of no-shows to zero;
- Sales;
- Revenue;
- Profit;
- Return on investment; or
- AI responses being correct in every circumstance.
Results depend on factors outside CoryNet's control, including the Client's market, pricing, reputation, responsiveness, offer, competition, customer base and use of the service.
33. Client business responsibilities
CoryNet provides and manages agreed technology and systems. Some systems may automate parts of customer communication or booking.
CoryNet itself does not act as the Client's:
- Receptionist;
- Sales team;
- Customer-service team;
- Marketing department;
- Social media manager;
- Legal adviser;
- Accountant;
- Financial adviser;
- Medical adviser; or
- Data Protection Officer.
The Client remains responsible for:
- Responding to enquiries where human involvement is required;
- Following up customers;
- Responding to messages;
- Managing exceptional or unsuitable bookings;
- Maintaining accurate business information;
- Handling complaints;
- Responding to reviews;
- Delivering its own products and services; and
- Operating its business.
34. Privacy and data protection
Where CoryNet processes information relating to the Client's customers, prospects or staff:
- The Client will normally act as the data controller; and
- CoryNet will normally act as a data processor where it handles the information to provide the agreed service.
The Client is responsible for:
- Deciding what personal information is collected;
- Having a lawful basis for collecting and using it;
- Providing appropriate privacy information;
- Obtaining consent where required;
- Responding to privacy requests;
- Maintaining accurate information;
- Deciding appropriate retention periods;
- Managing staff and user access; and
- Ensuring its staff use CoryNet systems lawfully.
Where CoryNet acts as a processor, CoryNet will:
- Process personal information to provide the agreed services and follow lawful Client instructions;
- Keep the information confidential;
- Use reasonable security measures;
- Restrict access to those who reasonably require it;
- Use suitable third-party service providers;
- Provide reasonable assistance with relevant privacy requests;
- Notify the Client without undue delay if CoryNet becomes aware of a relevant personal-data breach; and
- Delete or return information when appropriate after the service ends, subject to reasonable backups and legal retention requirements.
CoryNet does not automatically assume responsibility for the Client's wider UK GDPR or data-protection compliance.
35. Marketing communications and contact data
The Client is responsible for ensuring that email, SMS, WhatsApp and other marketing or reactivation communications are lawful.
The Client must:
- Have an appropriate lawful basis for communications;
- Obtain consent where required;
- Keep suitable consent or permission records;
- Respect opt-outs;
- Avoid misleading communications;
- Identify the sender where required; and
- Provide an appropriate way to unsubscribe where required.
A person making an enquiry or booking an appointment does not automatically give permission for unrelated marketing.
Where the Client uploads or supplies a mailing list, customer database or reactivation list, the Client confirms that it has the right to use that information for the intended purpose.
CoryNet may refuse, suspend or stop communications that CoryNet reasonably believes may be unlawful, misleading, abusive, spam-like or contrary to third-party platform requirements.
36. Sensitive information
The Client must not use ordinary website forms, chat, customer records or automations to collect highly sensitive information without discussing the requirement with CoryNet first.
This may include:
- Detailed health information;
- Criminal-offence information;
- Full payment-card details;
- Passwords;
- Passport copies;
- National Insurance numbers;
- Children's personal information;
- Biometric information; and
- Other special-category or particularly sensitive data.
Additional safeguards, configuration or charges may be required.
37. Security
CoryNet will take reasonable measures to maintain the security of the services it manages.
The Client must:
- Protect passwords and login details;
- Use multi-factor authentication where available;
- Protect devices used to access the service;
- Remove former staff access;
- Keep authorised-user details current; and
- Report suspected unauthorised access promptly.
No internet-connected system can be guaranteed to be completely secure or continuously available.
CoryNet may temporarily restrict access where reasonably necessary to protect the service, the Client or other users.
38. Backups
CoryNet may maintain reasonable backup and recovery arrangements for systems it manages.
Backups are intended for operational recovery.
They are not:
- A permanent archive;
- A legal-records service;
- A guarantee that every deleted item can be restored; or
- A substitute for the Client retaining important business records where required.
39. Support
Support covers the CoryNet services included in the Client's active subscription.
Support is normally provided remotely during CoryNet's usual operating hours.
Unless the proposal states otherwise:
- There is no 24-hour support service;
- There is no guaranteed response time;
- There is no guaranteed resolution time; and
- Non-urgent work may be grouped into scheduled updates.
Support does not include general IT support or support for systems not managed by CoryNet.
Where a CoryNet service is embedded into a third-party website, support covers the CoryNet service itself and not the operation, code, hosting or maintenance of that third-party website.
40. Failed and late payments
If a payment fails or an invoice becomes overdue, CoryNet may contact the Client and retry an authorised payment where appropriate.
If payment remains outstanding for seven days, CoryNet may:
- Pause routine changes;
- Pause additional work;
- Suspend support; and
- Restrict non-essential services.
If payment remains outstanding for 14 days, CoryNet may suspend some or all active managed services.
This may include:
- Websites;
- Forms;
- Booking pages;
- Automations;
- Email campaigns;
- Social publishing;
- Communication channels;
- AI assistants;
- Platform access; and
- Other managed services.
CoryNet will normally provide notice before suspending an active service.
The Client remains responsible for charges properly due during a suspension.
CoryNet may also exercise statutory rights available in relation to late commercial payments, including interest and recovery costs where applicable.
41. Cancellation
Recurring monthly services continue on a rolling basis unless otherwise stated in the proposal.
Either party may cancel a recurring service by giving at least 30 days' written notice.
Monthly fees falling due during the notice period remain payable.
There is no refund for a partially used month unless CoryNet agrees otherwise.
Cancellation does not remove responsibility to pay:
- Setup fees already due;
- Monthly fees already due;
- Fees falling due during the notice period;
- Usage charges already incurred;
- Approved additional work; or
- Third-party charges already incurred.
42. What happens when a service ends
When a recurring CoryNet service ends, relevant features may stop.
This may include:
- Website hosting;
- Website forms;
- Social Planner access and scheduled publishing;
- Newsletter Studio access and campaigns;
- Booking pages and calendars;
- Automated follow-up;
- Automated reminders;
- Review-request workflows;
- One Inbox access or connected channels;
- AI assistants;
- Integrations;
- Mobile application access; and
- Other platform features.
Independently owned accounts, such as the Client's Google Business Profile or social media accounts, remain the Client's property.
The Client should request any available standard data export before the service ends.
43. Exit assistance
Subject to payment of outstanding charges and platform availability, CoryNet may provide standard exports of available Client data.
This may include:
- Contacts;
- Appointments;
- Opportunities; and
- Other records supported by standard export tools.
The standard monthly subscription does not include:
- Rebuilding a website elsewhere;
- Migrating systems to another provider;
- Rebuilding workflows;
- Recreating booking systems;
- Recreating AI assistants;
- Importing exported data into another system;
- Training a replacement supplier;
- Producing detailed technical documentation; or
- Transferring CoryNet's own platform account.
Additional exit or migration work may be quoted separately.
44. Suspension or termination
CoryNet may suspend or end a service where:
- The Client does not pay amounts due;
- The Client repeatedly fails to cooperate;
- The Client uses the service unlawfully;
- The Client sends spam or abusive communications;
- The Client misuses review systems;
- The Client supplies unlawfully obtained contact data;
- The Client creates a serious security risk;
- The Client behaves abusively or threateningly; or
- Continuing the service is no longer reasonably practical.
Where practical, CoryNet will provide reasonable notice and an opportunity to resolve the issue.
Immediate action may be taken where necessary to address suspected fraud, unlawful activity, spam, serious misuse or a significant security risk.
45. Liability
Nothing in these Terms excludes liability where it would be unlawful to do so, including liability for:
- Death or personal injury caused by negligence;
- Fraud or fraudulent misrepresentation; or
- Any other liability that cannot legally be excluded.
Subject to this, CoryNet will not be liable for:
- Indirect or consequential loss;
- Loss of profit;
- Loss of revenue;
- Loss of opportunity;
- Loss of goodwill;
- Missed enquiries;
- Missed appointments;
- Customer no-shows;
- Negative reviews;
- Search-ranking changes;
- Social-media performance;
- Email campaign performance;
- Failed notifications;
- Incorrect AI-generated responses;
- Information supplied incorrectly by the Client;
- Actions of the Client's staff or users;
- Third-party service failures;
- Third-party account restrictions;
- Third-party uptime or availability; or
- Events outside CoryNet's reasonable control.
CoryNet's total liability relating to setup work will not exceed the setup fee paid or payable for the relevant service.
CoryNet's total liability relating to ongoing monthly services will not exceed the monthly service fees paid for the relevant service during the previous 12 months.
These limitations apply only where they are reasonable and legally enforceable.
46. Confidentiality
Each party will keep the other party's non-public business, technical and customer information confidential.
Confidential information may be used only as reasonably required to provide or receive the services.
This does not apply to information that:
- Is already public;
- Was already lawfully known;
- Is obtained lawfully from another source;
- Is independently developed; or
- Must be disclosed by law.
47. Portfolio use
Unless the Client asks CoryNet not to, CoryNet may:
- Identify the Client as a customer;
- Link to the Client's public website;
- Display screenshots of public pages;
- Display the Client's public logo; and
- Describe the general project in CoryNet's portfolio.
CoryNet will not publish private customer records, private conversations or confidential business information.
48. Changes to prices
CoryNet may change standard monthly subscription prices by giving at least 30 days' written notice.
The Client may cancel an affected service before the new standard price takes effect.
This does not apply to monthly prices protected by an active qualifying Founders Pricing arrangement.
Third-party and usage-based charges may change more quickly where the relevant supplier changes its own pricing.
49. Changes to these Terms
CoryNet may update these Terms from time to time.
Each version will display an effective date.
Changes will not retrospectively alter completed work or charges already due.
For active monthly Clients, CoryNet will provide reasonable notice of material changes.
If a material change substantially disadvantages the Client, the Client may cancel before the change takes effect.
50. Events outside CoryNet's control
CoryNet is not responsible for delays or failures caused by events outside its reasonable control.
These may include:
- Internet outages;
- Hosting outages;
- Telecommunications failures;
- Third-party platform failures;
- Cyberattacks;
- Power failures;
- Fire;
- Flood;
- Severe weather;
- Government action;
- Serious illness; or
- Failure of a critical supplier.
CoryNet will take reasonable steps to reduce the effect where practical.
51. Entire agreement
The agreement consists of:
- The accepted proposal or quotation;
- These Terms;
- Any agreed written variation; and
- Any additional quotation accepted by the Client.
These documents replace earlier discussions about the same service.
This does not exclude liability for fraud.
52. Transferring the agreement
The Client may not transfer the agreement to another person or business without CoryNet's written consent.
CoryNet may transfer the agreement as part of a genuine sale or restructuring of its business, provided the Client's contracted services are not materially reduced.
53. No partnership or employment
The agreement does not create:
- A partnership;
- A joint venture;
- An employment relationship; or
- A general agency relationship.
Neither party may enter into commitments on behalf of the other without written permission.
54. Notices
Formal notices should be sent by email.
Notices to CoryNet should be sent to: hello@corynet.co.uk
Notices to the Client will normally be sent to the main email address provided in the proposal.
An email notice will normally be treated as received on the next working day unless a delivery-failure message is received.
55. If part of these Terms is invalid
If a court finds part of these Terms unlawful or unenforceable, that part will be removed or limited only as much as necessary.
The remaining Terms will continue to apply.
56. Governing law
These Terms and the agreement are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction over disputes.
The parties will first try to resolve any dispute through reasonable direct discussion.
